Suppliers’ Terms and Conditions of Purchase

Article 1 – Definitions

1.1 Next Nature: The Next Nature Network Foundation, the organisation that runs the museum and its venues.

1.2 Supplier: The natural person or legal entity (including self-employed persons, freelancers, designers, artists and external companies) from whom Next Nature purchases goods, services or works. 

1.3 Agreement: The written legal relationship, contract or purchase order between Next Nature and the Supplier.

Article 2 – Applicability

2.1 These terms and conditions of purchase apply to all enquiries, orders, purchase orders and agreements in which Next Nature acts as a customer or client in relation to suppliers. 2.2 The Supplier’s general (delivery) terms and conditions are expressly rejected and shall not apply, unless expressly agreed otherwise in writing.

Artikel 3 – Uitvoering en Fair Practice

3.1 The Supplier guarantees that the goods, services or works supplied comply with the agreed specifications, quality standards and statutory requirements. 

3.2 Next Nature endorses and acts in accordance with the Fair Practice Code. When awarding and carrying out commissions to self-employed professionals and suppliers in the cultural and creative sector, Next Nature strives for equality, fair pay and transparency.

Article 4 – Invoicing and Payment Terms

4.1 Next Nature applies a fixed payment term of 30 days. This period commences on the date of receipt of a correct, itemised and electronically submitted invoice, provided that the service or delivery has been fully approved by Next Nature. 

4.2 In line with the Fair Practice Code and to support self-employment in the cultural sector, Next Nature aims to process invoices from individual self-employed people (freelancers) and small-scale creators more quickly.

Article 5 – Suspension and Breach of Contract

5.1 If the goods or services supplied do not meet the agreed quality standards or specifications, Next Nature is entitled to suspend payment of the invoice until the supplier has fully remedied the shortcoming. In such cases, the payment term shall be suspended.

Article 6 – Privacy and Confidentiality

6.1 The Supplier is obliged to maintain the confidentiality of all confidential information it receives from Next Nature in connection with the contract. 

6.2 Insofar as the Supplier processes personal data on behalf of Next Nature, this shall be done in accordance with the General Data Protection Regulation (GDPR).

Article 7 – Governing Law and Disputes

7.1 The agreement between the Supplier and Next Nature is governed exclusively by Dutch law. 

7.2 Any disputes arising from the agreement shall be referred to the competent court of the District Court of Oost-Brabant.
